Terms of Service

1. Agreement

By using Telaria services, you agree to these Terms of Service. If you do not agree, you must not use our services.

2. Services

Telaria provides telecommunications, VoIP, and business services on an as-available basis. We strive for reliability but do not guarantee uninterrupted service.

3. Eligibility

You must be at least 18 years old and legally able to enter into binding agreements to use our services.

4. Accounts & Security

You are responsible for maintaining the security of your account and for all activity under it. Notify us immediately of unauthorized use.

5. Acceptable Use

You agree not to use our services for illegal, abusive, or fraudulent purposes, including spam, harassment, or network attacks. Violations may result in suspension.

5a. SMS/MMS Terms

Telaria SMS/MMS Program

By opting in to receive SMS or MMS messages from Telaria ("Program"), you agree to the following terms in addition to our Terms of Service and Privacy Policy. This Program is not for emergency use; do not rely on text messaging for 911 or other emergency communications.

  • Opt-In and Consent. You may opt in via our portal, during checkout, or by texting keywords such as JOIN, START, or SUBSCRIBE to a Telaria long code, toll-free number, or short code we designate. You represent that you are the owner of, or authorized user for, the enrolled mobile number.
  • Opt-Out. You can cancel at any time by texting STOP. You may also text END, CANCEL, UNSUBSCRIBE, or QUIT. You will receive a one-time confirmation text. After this, you will no longer receive messages unless you opt in again.
  • Help. For assistance, text HELP or contact support@telaria.us.
  • Message Frequency. Message frequency varies by your settings and service usage (for example, account alerts, verifications, service updates, and marketing if you have separately consented). Typical frequency may range from 1-10 messages per month but may be higher during account activity.
  • Costs. Message and data rates may apply. You are responsible for charges from your wireless carrier.
  • Carrier Disclosure. Delivery is subject to effective transmission by your carrier. Carriers are not liable for delayed or undelivered messages.
  • Eligibility and Availability. The Program is available on major U.S. carriers and may require a compatible device and wireless service. International delivery may be limited or unavailable.
  • Data and Privacy. We may process your mobile number, message content, opt-in and opt-out status, delivery receipts, and related metadata to operate the Program and comply with applicable rules. For details, see our Privacy Policy.
  • Use Restrictions. You may not use Telaria messaging to send spam, unlawful content, or messages without valid consent. We may suspend or terminate messaging for abuse, fraud, or policy violations.

6. Network Management

We may manage our network to ensure stability and security, including blocking harmful traffic or prioritizing essential services.

7. Billing & Taxes

All fees are due as stated on invoices. Late or unpaid bills may result in suspension. You are responsible for applicable taxes and fees.

8. Numbers & E911

Telephone numbers assigned to you remain property of the Carrier. E911 services are provided but may be limited by your equipment, internet connection, or location.

9. Equipment

You are responsible for any equipment you provide. Telaria is not liable for malfunctioning or incompatible equipment not supplied by us.

10. Suspension & Termination

We may suspend or terminate service for violations, nonpayment, or security risks. You may cancel service with notice per your plan terms.

11. Disclaimers

Services are provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose.

12. Limitation of Liability

Telaria is not liable for indirect, incidental, or consequential damages. Our maximum liability is limited to the fees you paid for service during the past 3 months.

13. Indemnity

You agree to indemnify and hold harmless Telaria from claims, damages, or expenses arising from your use of our services.

14. Dispute Resolution

Disputes will be resolved through binding arbitration under Michigan law. You waive the right to class actions.

15. Changes to Terms

We may update these Terms at any time. Continued use of services after changes means you accept the updated Terms.
